These Recurring Buy Rewards Program Terms (“Program Terms”) govern your participation in Gemini’s recurring buy rewards program, which may be offered or promoted under the name “Recurring Buy Expedition” (the “Program”).
Participation in the Program is voluntary. By enrolling in or participating in the Program, you agree to these Program Terms, which supplement the Gemini User Agreement. If there is a conflict, the controls except that these Program Terms control with respect to Program-specific eligibility, rewards, and milestone mechanics.
1) Eligibility: You are eligible to participate in the Program only if, at the time of participation and at the time any reward is issued:
You maintain a Gemini account in good standing and have successfully completed all required identity verification checks.
You are a legal resident of a jurisdiction in which the Program is permitted, as determined solely by Gemini.
You satisfy any additional eligibility requirements disclosed in the Gemini app or in connection with a specific Program offer, promotion, or experience.
Eligibility criteria may vary based on jurisdiction, user segment, product configuration, testing or experimental group, or other factors determined by Gemini. Gemini reserves the right to modify, limit, suspend, or revoke eligibility criteria, or to discontinue the Program or any Program offer, at any time and without prior notice.
The availability or display of a Program offer in the Gemini app does not constitute a representation or guarantee of eligibility. Rewards may be subject to limits, including limits per user, per milestone, per calendar period, or over the lifetime of the Program, as determined by Gemini in its sole discretion. Gemini may correct errors in offer display and may determine, in its discretion, whether an offer was validly made available.
2) Qualifying Recurring Buys: A “Recurring Buy” is an automated cryptocurrency purchase scheduled on a recurring basis using a supported payment method on the Gemini platform.
For purposes of the Program, Gemini may designate a single Recurring Buy as the “Qualifying Recurring Buy.” The Qualifying Recurring Buy is the first Recurring Buy that successfully executes during an active “Program Period” and otherwise meets the applicable eligibility criteria. A “Program Period” is any period during which Gemini makes a Program offer available to you in-app, as determined by Gemini. Only the designated Qualifying Recurring Buy will be evaluated for reward eligibility and milestone completion. Activity from any other Recurring Buys will not be aggregated or considered.
To qualify for rewards under the Program, a Recurring Buy must:
Be established and first successfully executed during a period when the Program is active.
Execute successfully as required for the applicable milestone in accordance with its scheduled cadence, which may depend on the availability of your payment method, third-party payment rails, and Gemini systems.
Remain “Active” for the full duration required to satisfy the applicable reward milestone.
Meet any applicable minimum purchase amounts or cumulative purchase volume thresholds, calculated exclusive of fees unless Gemini expressly states otherwise.
Comply with any additional requirements disclosed in the Gemini app or in Program-specific terms or disclosures.
For Program purposes, “Active” means that the Qualifying Recurring Buy has not been canceled or paused and Gemini’s systems reflect successful execution of the Qualifying Recurring Buy as required for the applicable milestone, as determined by Gemini. For avoidance of doubt, a missed, failed, or skipped scheduled transaction may cause the Qualifying Recurring Buy to be treated as not Active for that milestone period.
Unless otherwise stated, milestone periods are measured as consecutive rolling periods beginning on the date of the first successful execution of the Qualifying Recurring Buy, not by calendar month. For example, a “Month 3” milestone is measured from day 1 through day 90 following the first successful execution.
Purchase volume is calculated based on the notional order amount specified by you for each scheduled transaction, exclusive of fees, as recorded in Gemini’s systems. Execution price, partial fills, or market conditions do not affect purchase volume calculations, and Gemini’s records are the final authority for all Program measurements.
3) Rewards and Milestones: Rewards (including reward amounts, eligible or supported assets, milestone requirements, timing, and payout schedules) will be communicated in-app or through Program-specific disclosures. Gemini may modify or discontinue any reward, milestone, payout schedule, eligible asset, or Program feature at any time, subject to applicable law.
Earning vs. Payout: The Program may distinguish between (i) earning a reward by satisfying a milestone and (ii) receiving that reward through a payout. A reward is not paid unless and until Gemini issues it to your Gemini account in accordance with the applicable payout terms and timing. Gemini may delay, withhold, deny, or reverse a payout if you do not satisfy eligibility requirements at the time of payout or if Gemini determines that your participation is inconsistent with these Program Terms, the Gemini User Agreement, or applicable law.
Milestones and Ongoing Eligibility:Rewards may, among other things:
Be paid in one or more installments.
Be conditioned on maintaining an Active Qualifying Recurring Buy for one or more specified milestone periods.
Require you to remain eligible at the time each payout is issued (not only at the time a milestone is earned).
Be subject to caps, expirations, and/or claim windows (if any), as disclosed in-app or in Program-specific disclosures.
Earning a reward at one milestone does not guarantee eligibility for any later milestone. Eligibility and milestone status are evaluated independently at each milestone and at each payout.
If your Qualifying Recurring Buy is paused, canceled, modified in a way that causes it to no longer qualify, or otherwise becomes ineligible after a milestone payout, then your progress toward future milestones may stop, reset, or terminate permanently, as determined by Gemini and as described in-app or in Program-specific disclosures. By example only, if you earn and receive a Month 3 payout and then pause your Qualifying Recurring Buy during the Month 4–Month 6 milestone period, you may lose progress toward the Month 6 milestone.
Cohorts and Versions: Gemini may offer different reward structures, assets, milestones, eligibility rules, measurement methods, and payout schedules to different users or cohorts, including through testing, experiments, phased rollouts, or limited availability. Participation in one version of the Program does not create any right to participate in any other version, and does not guarantee that the same rewards or milestones will be offered in the future.
Anniversary Concepts: Milestones, caps, expirations, and claim windows may be measured on a calendar-year, rolling 12-month, Program-year, or anniversary basis (for example, measured from the date of your first successful execution of a Qualifying Recurring Buy, or from the date you first enrolled in the Program), as specified in-app or in Program-specific disclosures. Where a cap or limit applies, Gemini will determine the applicable measurement period and apply the cap based on Gemini’s records.
Anniversary Rewards: Gemini may offer an anniversary reward to eligible participants who maintain a Qualifying Recurring Buy in Active status for twelve (12) consecutive months (the “Anniversary Reward”).
For purposes of the Anniversary Reward, the twelve (12) months are measured as a rolling 12-month period beginning on the date of the first successful execution of the Qualifying Recurring Buy, unless stated otherwise in-app.
If offered, the Anniversary Reward will be a fixed-value crypto reward or a reward determined based on objective, non-random criteria communicated in-app. Objective criteria may include the recurring purchase amount, cadence, duration the Qualifying Recurring Buy remains Active, or other measurable factors described in-app. The value, supported assets, timing, and any claim requirements will be disclosed at the time the Anniversary Reward is made available.
The Anniversary Reward is not determined by chance and is not guaranteed. Eligibility is evaluated at the time of reward determination and distribution. If the Qualifying Recurring Buy is paused, canceled, modified, or otherwise becomes ineligible prior to reward determination or within any applicable claim period, the user may forfeit eligibility for the Anniversary Reward.
Anniversary Rewards may be subject to limits, expirations, or claim windows, as determined by Gemini. Unclaimed Anniversary Rewards may expire and be forfeited in accordance with the Claim Requirements described in these Program Terms.
Rewards have no cash value, are non-transferable, and may not be substituted or exchanged, except as required by law or expressly permitted by Gemini in writing. You are responsible for any taxes or tax reporting obligations associated with rewards.
Anniversary Sweepstakes: Gemini may, in connection with certain anniversary milestones, offer a separate, time-limited promotional sweepstakes or randomized reward opportunity (an “Anniversary Sweepstakes”). Any Anniversary Sweepstakes will be governed solely by separate official rules (the “Anniversary Sweepstakes Official Rules”), which will be made available at the time of the offer.
Participation in an Anniversary Sweepstakes is not governed by these Program Terms, except as expressly stated in the applicable Anniversary Sweepstakes Official Rules. Eligibility, entry methods, prize determination, and any applicable “no purchase necessary” or alternative method of entry provisions will be set forth exclusively in the Anniversary Sweepstakes Official Rules. Participation in the Program does not guarantee eligibility for or availability of any Anniversary Sweepstakes.
4) Ineligibility and Forfeiture: Gemini may determine that you are ineligible for, or may forfeit, some or all rewards (including any unpaid rewards and any progress toward future milestones) if Gemini determines that any of the following occurs:
Cancellation, Pause, Skip, or Failure to Fund. You cancel, pause, skip, or fail to fund the Qualifying Recurring Buy before completing the requirements for the applicable milestone period.
Modifications after First Execution. You modify the Qualifying Recurring Buy after its first successful execution in a way that affects the schedule, timing, purchase amount, payment method, or other material terms.
Any such modification (other than price changes caused solely by market movement) will be treated as a change that may cause you to lose progress toward, and/or become ineligible for, current and future milestones. Gemini may treat the modified Recurring Buy as a new Recurring Buy for milestone and eligibility purposes.
Gemini may also treat any canceled, deleted, or replaced Recurring Buy (including where you create a new Recurring Buy after cancellation or deletion) as a new Recurring Buy for milestone and eligibility purposes.
For avoidance of doubt, a change to cadence, payment method, asset, notional amount, or execution day will be treated as a material modification.
Failed Scheduled Transactions. A scheduled transaction fails or does not execute due to insufficient funds, payment method issues, account restrictions, compliance controls, or similar causes.
Volume Shortfall. Your cumulative purchase volume does not meet applicable minimums or thresholds within the required milestone period.
Account Standing. Your Gemini account is closed, suspended, restricted, or otherwise not in good standing at the time a reward is earned, evaluated, or paid.
Fraud or Abuse. Gemini reasonably determines that you engaged in fraud, abuse, manipulation, gaming, circumvention, misuse of the Program, or attempted misuse of the Program.
Loss of Eligibility. You no longer satisfy any applicable eligibility requirements at the time Gemini evaluates milestone completion or issues a payout.
Missed Transactions; No Automatic Rescheduling:Missed, failed, or skipped scheduled transactions are not automatically rescheduled for Program purposes. Gemini is not required to extend any milestone period or qualification timeline due to missed executions, payment failures, account holds, restrictions, or user actions.
System Pauses, Maintenance, and Operational Interruptions: A Recurring Buy may be paused, delayed, or interrupted due to system issues, maintenance, outages, network interruptions, third-party payment rail disruptions, risk controls, compliance reviews, or other operational reasons, including reasons outside of your control. Gemini may determine, in its sole discretion and as permitted by applicable law, how any such interruption affects eligibility, milestone progress, or payouts, including by pausing, resetting, adjusting, or terminating milestone progress, or by denying or delaying a payout.
5) Reward Determination and Distribution: Gemini determines, in its sole discretion:
Whether Program requirements have been satisfied.
Whether a Recurring Buy qualifies for a reward or milestone.
The timing, method, and asset used for reward distribution.
The applicable market price used to calculate any crypto-denominated reward.
Except where a reward is subject to a claim requirement, rewards that are earned and approved for payout will generally be credited to your Gemini account within a reasonable period after qualification. Distribution may be delayed, withheld, or denied due to account reviews, eligibility checks, technical issues, operational constraints, or compliance requirements.
Claim Requirements:Certain rewards may require you to affirmatively claim the reward within a specified period, as disclosed in the Gemini app or in Program-specific terms (a “Claim Window”). Claiming a reward may require completing specific actions, such as confirming eligibility, acknowledging additional terms, or taking other steps described in-app. Claim Windows may begin on the date the reward is made available in-app, not the date the user first views or accesses the claim interface. You are responsible for monitoring the Gemini app for reward availability and claim deadlines.
If you do not claim a reward within the applicable Claim Window, the reward will expire and be forfeited, and you will have no further right to receive that reward. Gemini is not required to provide reminders, extensions, or alternative claim methods, unless required by applicable law.
Expiration and Forfeiture: Rewards that expire or are forfeited for any reason (including failure to claim within the applicable Claim Window, loss of eligibility, or account restrictions) will not be reinstated, reissued, or substituted. Forfeiture of a reward does not entitle you to any cash payment, replacement reward, or alternative compensation.
Gemini’s records and determinations regarding reward qualification, claim status, expiration, forfeiture, and distribution are final and binding, except as required by applicable law.
6) Experiments and Variations: Gemini may offer the Program, or any component of the Program, as part of testing, experiments, A/B tests, limited-time promotions, beta releases, pilots, or phased rollouts. As a result, Gemini may vary the Program (including the offer terms, user interface, messaging, eligibility criteria, milestone requirements, measurement methods, rewards, reward assets, reward amounts, timing, claim requirements, and payout schedules) across users, jurisdictions, accounts, or cohorts, and Gemini may change or end any such version at any time, subject to applicable law.
Your participation in one version of the Program does not create any right to participate in any other version of the Program, does not guarantee that the Program will remain available to you, and does not guarantee the availability of any particular reward structure, milestone, eligibility rule, or future offer.
7) General Terms: The Program is subject to the Gemini User Agreement, including its dispute resolution provisions. By participating, you agree to these promotional terms, which supplement the User Agreement. If there is a conflict, the User Agreement controls except that these Program Terms control with respect to Program-specific eligibility, rewards, and milestone mechanics.
Gemini’s failure to enforce any provision of these Program Terms at any time does not waive Gemini’s right to enforce that provision or any other provision at a later time. If any provision of these Program Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
You may view Program-related information, including Program details, milestone progress, eligibility status, and reward status, through your Gemini account, including via the Gemini mobile app or the Gemini website. Capitalized terms not defined herein have the meanings set forth in the Gemini User Agreement.
