These Margin Account Creation Fee-Rebate Promotion Terms and Conditions (these “Promotion Terms”) govern the Margin Account Creation Fee-Rebate Promotion (the “Promotion”) offered by Gemini Moonbase, LLC (“Gemini,” “we,” “us,” or “our”).
These Promotion Terms operate as a supplement to, and should be read in conjunction with, the Gemini Moonbase User Agreement (the “User Agreement”), including Appendix A: Margin Trading (the “Margin Terms”). Capitalized terms used but not defined in these Promotion Terms have the meanings given to them in the User Agreement or the Margin Terms, as applicable. Your eligibility to participate in the Promotion is conditioned on your continued acceptance of, and compliance with, the User Agreement and the Margin Terms, each of which remains in full force and effect on its own terms, independent of these Promotion Terms and of the Promotion itself. To the extent of any conflict between these Promotion Terms and the User Agreement or the Margin Terms, these Promotion Terms will govern solely with respect to the Promotion and only for so long as the Promotion Period is in effect.
BY PARTICIPATING IN THE PROMOTION, YOU ACKNOWLEDGE AND AGREE TO THESE PROMOTION TERMS, THE USER AGREEMENT, AND THE MARGIN TERMS, INCLUDING YOUR CERTIFICATION THAT YOU QUALIFY AS AN ELIGIBLE CONTRACT PARTICIPANT AS DEFINED IN THE U.S. COMMODITY EXCHANGE ACT, WHICH CERTIFICATION IS A CONDITION TO ENABLING A MARGIN ACCOUNT. IF YOU DO NOT AGREE, DO NOT PARTICIPATE IN THE PROMOTION.
Margin Trading Requires ECP Certification and an Approved Margin Account
Gemini’s Margin Trading product, and therefore any rebate under this Promotion, is available only to Gemini customers who qualify, and have certified, as Eligible Contract Participants (“ECPs”) under the Commodity Exchange Act (or the equivalent definition under applicable law), and whose Margin Account has been approved and enabled by Gemini in accordance with the Margin Terms. This Promotion is directed at customers who do not have an approved or enabled Margin Account as of the Eligibility Determination Date (defined below); participation in, and any benefit under, this Promotion is conditioned on that customer applying for, and being approved for, ECP certification and a Margin Account during the Promotion Period. Nothing in these Promotion Terms expands Margin Trading eligibility beyond what is permitted under the Margin Terms, and Gemini reserves all rights described in the Margin Terms to approve, decline, verify, suspend, or revoke any ECP certification or Margin Trading privileges at any time, in its sole discretion. If your application for ECP certification or a Margin Account is declined, or your ECP certification or Margin Trading privileges are suspended, revoked, or otherwise unavailable for any reason during the Promotion Period, you will not be, or will cease to be, eligible to participate in, or receive any benefit under, the Promotion.
Promotion Period
The Promotion will run from 12:00 A.M. ET on September 15, 2026, through 11:59 P.M. ET on September 22, 2026 (the “Promotion Period”). Gemini reserves the right to modify, shorten, extend, or terminate the Promotion Period at any time, in its sole discretion, as described in the “Amendment; Suspension; Termination” section below.
Eligibility
A customer is eligible to participate in the Promotion (an “Eligible Customer”) only if that customer:
Has been specifically identified and notified by Gemini, in Gemini’s sole discretion, as eligible to participate in the Promotion;
As of the Eligibility Determination Date (defined below), held an open Gemini Moonbase account without an approved or enabled Margin Account; and
Applies for, and is approved for, ECP certification and a Margin Account, and enables that Margin Account, during the Promotion Period.
“Eligibility Determination Date” means 11:59 P.M. ET on September 14, 2026, the day immediately preceding the start of the Promotion Period. Gemini will determine whether a customer satisfies the criteria in the second bullet above based on Gemini’s books and records.
This Promotion is available only to the specific population of customers Gemini has selected and notified in accordance with the first bullet above; satisfying the profile described in the second bullet does not, by itself, make a customer an Eligible Customer. Gemini may, but is not required to, notify prospective Eligible Customers by email, push notification, or other means; a customer who has not been specifically selected and notified by Gemini is not an Eligible Customer, regardless of whether that customer otherwise satisfies the profile described above.
An Eligible Customer must continue to satisfy the requirements above, and comply with these Promotion Terms, the User Agreement, and the Margin Terms, throughout the Promotion Period in order to remain eligible to receive a rebate. A customer who does not complete Margin Account approval and enablement before the end of the Promotion Period will not earn any rebate under the Promotion, regardless of whether that customer otherwise satisfied the criteria above.
Nature of the Offer: This Is a Fee Rebate, Not a Fee Waiver
IMPORTANT: The Promotion is structured as a rebate, not as a fee waiver or a discount applied at the time of trade.
All standard, applicable fees under the Margin Terms and Gemini’s published fee schedule— including the Eligible Fees described in the “Eligible Fees” section below—will continue to apply, be calculated, and be charged to your Margin Account in the ordinary course following enablement of your Margin Account, exactly as they would in the absence of the Promotion. Gemini will not reduce, waive, or adjust any fee at the time it is charged.
Following the end of the Promotion Period, Gemini will separately credit back (“rebate”) to each Eligible Customer 100% of the Eligible Fees actually charged to, and paid from, that Eligible Customer’s Margin Account between the date that Margin Account is enabled and the end of the Promotion Period, subject to these Promotion Terms.
You remain responsible for maintaining sufficient Collateral and Margin Asset Value to satisfy Margin Requirements at all times following enablement of your Margin Account, irrespective of any anticipated rebate. The prospect of a future rebate does not reduce, offset, or otherwise affect your Margin Requirements, Collateral obligations, or exposure to Margin Calls or Liquidation at any time before a rebate is actually credited to your Account.
Eligible Fees
Subject to these Promotion Terms, the following fees actually charged to, and paid from, an Eligible Customer’s Margin Account between the date that Margin Account is enabled and the end of the Promotion Period are eligible for a 100% rebate (the “Eligible Fees”):
No other fees, charges, spreads, or costs—including, without limitation, loan (interest) fees, withdrawal fees, network or transfer fees, conversion spreads, or costs associated with a Liquidation—are Eligible Fees or otherwise eligible for a rebate under the Promotion, whether or not incurred in connection with Margin Trading.
Rebate Calculation and Payout
Gemini will calculate the rebate owed to each Eligible Customer based on the aggregate Eligible Fees actually charged to, and paid from, that customer’s Margin Account during the applicable period described above, as recorded in Gemini’s systems of record, which will be conclusive absent manifest error.
Rebates will be credited to the applicable Eligible Customer’s Account within approximately forty-eight (48) hours after the end of the Promotion Period, though this timeline may be extended in Gemini’s sole discretion, including where Gemini determines that further review, verification, or investigation is warranted (for example, in connection with suspected fraud, abuse, or a violation of these Promotion Terms or any applicable Gemini user agreement).
Rebates will not accrue interest prior to crediting. Gemini will not credit a rebate if, at the time rebates are issued, your Account or Margin Account has been closed, suspended, or restricted, or you are otherwise no longer an Eligible Customer.
Limitations
Limit one Promotion per customer. The Promotion is not transferable, saleable, or assignable, and is not valid in conjunction with certain other Gemini offers or promotions, as determined by Gemini in its sole discretion.
Employees, contractors, or persons similarly associated with Gemini or a Gemini affiliate, and members of their household, are not eligible to participate.
Market Makers (as designated by Gemini) are not eligible to participate.
The Promotion is available only for personal, non-commercial use in connection with an individual Eligible Customer’s own Margin Account.
Gemini reserves the right, in its sole discretion, to disqualify any customer from, or to decline to grant, rescind, offset, or claw back any rebate under, the Promotion if Gemini determines that there has been fraudulent activity, gaming, wash trading, or other abuse of the Promotion, or any violation of these Promotion Terms, the User Agreement, or the Margin Terms.
Nothing in these Promotion Terms, and no communication relating to the Promotion, constitutes a solicitation, investment advice, or a recommendation to open a Margin Account, engage in any Margin Trade, or use any particular amount of Margin. You remain solely responsible for determining whether, and to what extent, Margin Trading is appropriate for you.
Margin Trading involves a high degree of risk, including the risk of Liquidation and losses in excess of your Collateral, as more fully described in the Margin Terms. The Promotion does not reduce, limit, waive, or otherwise affect any of the risks, obligations, or Margin Requirements described in the Margin Terms.
Taxes
Taxes related to the Promotion, including any rebate you receive, are solely your responsibility. Consult your own tax advisor regarding the appropriate tax treatment of a rebate before participating in the Promotion. Gemini may report the value of rebates on applicable tax forms where required by law.
Amendment; Suspension; Termination
Gemini reserves the right to change these Promotion Terms, or to suspend or terminate the Promotion, at any time and without prior notice, including during the Promotion Period, subject to applicable law. Continued participation in the Promotion after any such change constitutes your acceptance of the changed terms. If Gemini terminates the Promotion before the scheduled end of the Promotion Period, Gemini will determine, in its sole discretion, the treatment of Eligible Fees charged prior to termination, which may include a full or prorated rebate.
Relationship to the User Agreement and Margin Terms
Your participation in the Promotion does not modify, and remains at all times subject to, the User Agreement and the Margin Terms, including all provisions relating to Margin Calls, Liquidation, Collateral, Margin Requirements, Interest, fees, default, and risk. In the event of any conflict between these Promotion Terms and the User Agreement or the Margin Terms, these Promotion Terms govern solely with respect to the Promotion, and the User Agreement and the Margin Terms govern all other aspects of Margin Trading. These Promotion Terms apply only for, and only with respect to, the Promotion and terminate automatically upon the expiration or earlier termination of the Promotion. The User Agreement and the Margin Terms survive independently and continue to govern your Margin Trading relationship with Gemini regardless of whether the Promotion is active.
Governing Law; Dispute Resolution; Severability
These Promotion Terms are governed by, and subject to, the same governing law, arbitration, and dispute resolution provisions (including any class action waiver) as the User Agreement. If any provision of these Promotion Terms is held invalid or unenforceable, the remainder will continue in full force and effect to the maximum extent permitted by law.
