NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN A PRIZE IN THIS SWEEPSTAKES (DEFINED BELOW). A PURCHASE, PAYMENT, OR ACCEPTANCE OF A PRODUCT OFFER WILL NOT INCREASE YOUR CHANCES OF WINNING. THIS SWEEPSTAKES IS OPEN ONLY TO LEGAL RESIDENTS OF THE 50 UNITED STATES AND THE DISTRICT OF COLUMBIA. THIS SWEEPSTAKES IS VOID IN PUERTO RICO, GUAM, AMERICAN SAMOA, ALL OTHER UNITED STATES TERRITORIES, POSSESSIONS, AND PROTECTORATES, FOREIGN BASED UNITED STATES MILITARY INSTALLATIONS, AND WHEREVER RESTRICTED OR PROHIBITED BY LAW.
BY ENTERING OR OTHERWISE PARTICIPATING IN THIS SWEEPSTAKES, YOU AGREE TO BE BOUND BY THESE OFFICIAL RULES, WHICH ARE A CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING. THIS CONTRACT REQUIRES YOU TO INDEMNIFY AND TO RELEASE ALL CLAIMS AGAINST THE SWEEPSTAKES ENTITIES (AS DEFINED BELOW). BY ENTERING THE SWEEPSTAKES, YOU ARE AGREEING TO MANDATORY, BINDING ARBITRATION WITH NO CLASS RELIEF, AND TO A LIMITATION OF YOUR RIGHTS AND REMEDIES, INCLUDING ANY DAMAGES THAT YOU MAY RECOVER.
1. SPONSOR: Gemini Titan, LLC ("Sponsor" or "Gemini"), 600 Third Avenue, 2nd Floor, New York, NY 10016. "Sweepstakes Entities" includes the Sponsor and each of its affiliates, subsidiaries, advertising or promotion agencies, and any other entity involved in the administration or fulfillment of these Sweepstakes.
2. PROMOTION PERIOD AND DAILY SWEEPSTAKES PERIOD: The overall promotion runs from March 27, 2025 5:00pm ET through March 27, 2025 5:59pm ET (the "Promotion Period"), unless earlier terminated or extended by Sponsor in its sole discretion. Within the Promotion Period, a separate, independent sweepstakes drawing occurs each calendar day (each, a "Daily Sweepstakes Period"). Each Daily Sweepstakes Period opens at 5:00 PM ET and closes at 5:59 PM ET on the same calendar day. Each Daily Sweepstakes Period is a standalone drawing with its own eligible entries and winner. Entries from one Daily Sweepstakes Period do not carry over to any other. Sponsor's server clock is the official timekeeping device. Sponsor reserves the right to modify, suspend, or discontinue any Daily Sweepstakes Period or the Promotion Period as a whole upon notice posted at [URL].
3. ELIGIBILITY: Open only to legal U.S. residents (50 states and DC), age 18 or older. Employees of Sponsor and their household or immediate family members are not eligible. Entrants must not be subject to U.S. or international sanctions.
The following individuals are not eligible to enter or win:
Employees, officers, directors, agents, and representatives of the Sweepstakes Entities; and
Their immediate family members (spouse, partner, parent, child, sibling, grandparent, or in-laws, including step-relations) or members of the same household, whether related or not.
Activity-based entrants must also have a Gemini Predictions account in good standing and not subject to any suspension, restriction, or investigation at the time of entry and at the time any prize is awarded.
4. HOW TO ENTER: During each Daily Sweepstakes Period, eligible participants may enter by either of the following methods. All entries are treated equally for purposes of winner selection.
A) ACTIVITY-BASED ENTRY: To enter, complete all three of the following steps during the applicable Daily Sweepstakes Period:
Place any trade on the BTC/USD Hourly contract resolving at 6:00 PM ET on Gemini Predictions between 5:00 PM ET and 5:59 PM ET;
Take a screenshot of your confirmed order or prediction card; and
Post the screenshot publicly on X (formerly Twitter), tag @Gemini.
Each unique qualifying post constitutes one (1) entry into that day's drawing only. Your X account must be set to public at the time of entry and remain public through the date of winner verification. Sponsor is not responsible for posts removed by X or for accounts made private or suspended prior to winner verification. Entries associated with unavailable posts will be disqualified. Gemini reserves the right to review trading activity and X posts for compliance and to disqualify entries earned through ineligible, fraudulent, or manipulative activity.
B) ALTERNATE METHOD OF ENTRY (AMOE): To enter without trading, send an email to marketing@gemini.com between 5:00 PM ET and 5:59 PM ET during the applicable Daily Sweepstakes Period with your full name, mailing address, and daytime phone number, and the date of the Daily Sweepstakes Period you are entering in the body of the email. Entrants who submit via AMOE are not required to have a Gemini Predictions account or an X account. Limit one (1) AMOE entry per person per Daily Sweepstakes Period. A separate email submission is required for each day you wish to enter. Entries generated by automated or programmatic means will be disqualified.
Eligibility to participate in the Sweepstakes is subject to your ongoing compliance with these Official Rules and all eligibility requirements. Notwithstanding your meeting the eligibility criteria above, Gemini reserves the right, in its sole discretion, to disqualify any Entrant suspected of fraud, abuse, misuse, or gaming in connection with these Sweepstakes. Gemini may refuse, suspend, or terminate participation at any time for any reason, including if an entrant is deemed ineligible or in violation of these Rules or other applicable terms. If we become aware that you are ineligible or otherwise determine that you are in violation of the Official Rules or any applicable terms and conditions, Gemini may ban you from using any of our products and services. In addition to the other rights set forth herein and to those that may be available to us, you agree that you will indemnify and hold harmless Gemini and its Affiliates from any legal or monetary consequences that arise from any unauthorized participation.
Participation in the Sweepstakes constitutes full and unconditional agreement to these Official Rules, as well as Gemini’s and , which are incorporated by reference. Entrants who do not agree to these terms are ineligible to participate or earn entries. Void where prohibited. All federal, state, and local laws and regulations apply. Winning a prize is contingent upon compliance with all applicable requirements.
5. WINNER SELECTION: One (1) winner will be selected at random from all eligible entries received during each Daily Sweepstakes Period, on or about 6:00 PM ET on the date of each Daily Sweepstakes Period. Odds of winning depend on the number of eligible entries received. All determinations by Sponsor are final and binding.
6. WINNER NOTIFICATION: The potential winner for each Daily Sweepstakes Period will be notified by email and/or phone within approximately three (3) business days of selection. The potential winner must respond within three (3) calendar days of attempted notification and, if required, complete an Affidavit of Eligibility, Release of Liability, and W-9 Tax Form. Failure to timely respond or satisfy any prize claim requirements will result in forfeiture and selection of an alternate winner for that Daily Sweepstakes Period, at Sponsor's sole discretion. Up to three (3) alternate winners may be selected per Daily Sweepstakes Period. A winner from one Daily Sweepstakes Period is eligible to win subsequent Daily Sweepstakes Periods unless otherwise restricted by applicable law.
7. PRIZE: $250 USD equivalent in Bitcoin (BTC), delivered to the winner's verified Gemini account. If the winner does not hold a Gemini account at the time of prize fulfillment, Sponsor will work with the winner to arrange an equivalent delivery method at Sponsor's sole discretion.
ARV: $250 USD. Actual value at time of award may vary based on BTC market price fluctuations. No cash substitution or transfer of prize. Sponsor reserves the right to substitute a prize of equal or greater value if the stated prize is unavailable.
8. TAXES: The winner of each Daily Sweepstakes Period is solely responsible for all applicable federal, state, and local taxes on any prize received. Sponsor will aggregate prize values awarded to any individual winner across all Daily Sweepstakes Periods within a calendar year for purposes of IRS reporting. A Form 1099 (or equivalent) will be issued if a winner's cumulative winnings during a calendar year meet or exceed applicable reporting thresholds.
9. PUBLICITY: Except where prohibited by law, acceptance of a prize constitutes permission for Sponsor to use the winner's name, likeness, and general location for promotional purposes across any media, without further compensation, unless prohibited by law.
10. PRIVACY: By participating, entrants consent to the collection, use, and disclosure of their personal information for purposes of administering these Sweepstakes and fulfilling prizes. Entry information may be shared with third parties solely for administration and legal compliance purposes. All personal information collected in connection with this Sweepstakes will be handled in accordance with Gemini's Privacy Policy, available at.
11. LIMITATION OF LIABILITY AND RELEASE: By participating, entrants release and hold harmless the Sweepstakes Entities from any claim, liability, loss, or damage of any kind arising out of participation in this Sweepstakes or acceptance or use of any prize.
TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ALL DISPUTES WILL BE RESOLVED INDIVIDUALLY WITHOUT CLASS ACTION; (2) AWARDS WILL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS NOT TO EXCEED $10.00; (3) PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES ARE WAIVED; AND (4) ENTRANT'S REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES AND ENTRANT WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF.
12. DISPUTE RESOLUTION: These Official Rules are governed by the laws of the State of New York, without regard to conflict of law principles. Any dispute arising out of or relating to this Sweepstakes shall be resolved by final and binding arbitration in New York, NY, under the AAA Consumer Arbitration Rules, except that small claims court actions are permitted. Entrants must send written notice to Sponsor at the address in Section 1 at least ten (10) business days before initiating arbitration. If the arbitration agreement is unenforceable, disputes shall be brought exclusively in state or federal courts in New York, NY.
13. GENERAL: Sponsor reserves the right to cancel, modify, or suspend this Sweepstakes if fraud, technical failures, or other causes outside Sponsor's control compromise its integrity. Failure to enforce any provision is not a waiver. If any provision is held invalid or unenforceable, it shall be severed and the remainder shall continue in full force. These Official Rules constitute the entire agreement between entrants and Sponsor with respect to this Sweepstakes.
