1. SPONSOR:Gemini Trust Company, LLC (“GTC”), 600 Third Avenue, 2nd Floor, New York, NY 10016, and Gemini Moonbase, LLC (“Moonbase,” and together with GTC, “Sponsor” or “Gemini”), 545 NW 26th Street, Suite 350, Miami, FL 33127. Each entrant’s account, trading activity, and participation in this Sweepstakes will be with GTC or Moonbase, as determined by the entrant’s state of residence. “User Agreement” means the Gemini user agreement of GTC or Moonbase, as applicable to the entrant’s state of residence. “Sweepstakes Entities” includes the Sponsor and each of its affiliates, subsidiaries, advertising or promotion agencies, and any other entity involved in the administration or fulfillment of this Sweepstakes.
2. PROMOTION PERIOD:The Promotion Period runs from October 16, 2026, at 10:00 AM ET through October 22, 2026, at 10:00 AM ET (the “Promotion Period”), unless earlier terminated or extended by Sponsor in its sole discretion. All eligible entries received during the Promotion Period will be entered into a single drawing. Sponsor’s server clock is the official timekeeping device. Sponsor reserves the right to modify, suspend, or discontinue the Promotion Period.
3. ELIGIBILITY:Open only to legal U.S. residents (50 states and DC) who have reached the age of majority in their state of residence. Entrants must not be subject to U.S. or international sanctions.
The following individuals are not eligible to enter or win:
Employees, officers, directors, agents, and representatives of the Sweepstakes Entities.
Their immediate family members (spouse, partner, parent, child, sibling, grandparent, or in-laws, including step-relations) or members of the same household, whether related or not.
Account-based entrants must have a Gemini account in good standing with GTC or Moonbase that is not subject to any suspension, restriction, or investigation at the time of entry and at the time any prize is awarded.
4. HOW TO ENTER:During the Promotion Period, eligible participants may enter by either or both of the below methods. All entries, regardless of how they are earned, have an equal chance of being selected. No person may earn more than ten (10) entries in total across both methods.
A) ACCOUNT-BASED ENTRY (NEW USERS ONLY):Create a new Gemini account and complete at least one (1) Qualifying Trade. A “new” account means the entrant did not have a Gemini account before the start of the Promotion Period and created their account during the Promotion Period. Whether a user is “new” is determined by the identity of the individual, as verified by Sponsor, and not by email address or other account identifier: a person who holds, or at any time before the start of the Promotion Period held, a Gemini account with GTC, Moonbase, or any Gemini affiliate is not a new user. Each person may hold only one account eligible for this method of entry. This method is available only to accounts held by individuals in their own names: business, entity, institutional, and market-maker accounts are not eligible. For avoidance of doubt, existing Gemini account holders are not eligible for this method of entry.
A “Qualifying Trade” means a single completed buy or sell order of any cryptocurrency (other than a Stablecoin) supported on the Gemini exchange (spot market only, as operated by GTC or Moonbase, as applicable to the entrant) with a value of at least $10 USD (or equivalent), excluding fees (that is, based on the value of the cryptocurrency bought or sold, not including fees paid). “Stablecoin” means any digital asset designed to maintain a stable value relative to a fiat currency or other reference asset, including, without limitation, USDC, USDT, GUSD, and DAI. Orders to buy or sell a Stablecoin and orders in any trading pair in which a Stablecoin is the quote or settlement asset do not qualify. Only spot cryptocurrency trades qualify; margin trading, derivatives, perpetual contracts, prediction or event contracts, securities, staking, card or payment transactions, and non-trade activity, such as deposits, withdrawals, transfers, conversions, and rewards do not qualify. Trades made by any Sponsor affiliate or by any market maker do not qualify.
Once an entrant has completed at least one (1) Qualifying Trade, the entrant will receive one (1) entry for every $10 USD of Qualifying Trading Volume completed during the Promotion Period, rounded down to the nearest whole $10. “Qualifying Trading Volume” means the total USD value, excluding fees, of all completed buy and sell orders of cryptocurrency supported on the Gemini exchange placed from the entrant’s new account during the Promotion Period and that otherwise meet the requirements for a Qualifying Trade (other than the $10 minimum), measured by the value of cryptocurrency bought or sold and not including any fees paid (for example, a $10.50 purchase that includes $0.50 in fees contributes $10 to Qualifying Trading Volume). For example, an entrant with $35 in Qualifying Trading Volume, including at least one single trade of $10 or more, receives three (3) entries. Trades that are cancelled, reversed, or not completed do not count, and the unexecuted portion of a partially filled order does not count.
Account creation, any required identity verification, the Qualifying Trade, and all trading counted toward entries must be completed and confirmed during the Promotion Period. Gemini reserves the right to review account activity for compliance and to disqualify entries earned through ineligible, fraudulent, or manipulative activity, including wash trading, self-dealing, or trades that are reversed, or account assets that are fully withdrawn immediately after trading in a pattern Sponsor deems abusive.
B) ALTERNATE METHOD OF ENTRY (AMOE):To enter without creating an account, trading, or making a deposit, complete the form during the Promotion Period at the following link: https://qi4kidzck7l.typeform.com/to/WoJdNnWK. Limit ten (10) AMOE entries per person for the entire Promotion Period subject to the limit of ten (10) combined entries. For example, an entrant who submits two valid AMOE form submissions and does not trade receives two (2) entries; a new user who submits two valid AMOE form submissions and also completes $35 in Qualifying Trading Volume receives five (5) entries—two (2) AMOE entries plus three (3) trade-based entries—subject to the entry limit in this Section 4. Entries generated by automated or programmatic means will be disqualified. AMOE entries must accurately disclose whether they have an existing Gemini account and include the same email address associated with that Gemini account.
Eligibility to participate in the Sweepstakes is subject to your ongoing compliance with these Official Rules and all eligibility requirements. Gemini reserves the right, in its sole discretion, to disqualify any entrant suspected of fraud, abuse, misuse, or gaming in connection with this Sweepstakes. Gemini may refuse, suspend, or terminate participation at any time for any reason, including if an entrant is deemed ineligible or in violation of these Rules or other applicable terms. If we become aware that you are ineligible or otherwise determine that you are in violation of the Official Rules or any applicable terms and conditions, Gemini may ban you from using any of our products and services. You agree that you will indemnify and hold harmless Gemini and its affiliates from any legal or monetary consequences that arise from any unauthorized participation.
Participation in the Sweepstakes constitutes full and unconditional agreement to these Official Rules, as well as Gemini’s applicable User Agreement and Privacy Policy, which are incorporated by reference. Entrants who do not agree to these terms are ineligible to participate or earn entries. Void where prohibited.
5. WINNER SELECTION:One (1) winner will be selected at random from all eligible entries received during the Promotion Period, on or about October 22, 2026. Odds of winning depend on the total number of eligible entries received and the number of entries held by the entrant. All determinations by Sponsor are final and binding.
6. WINNER NOTIFICATION AND PRIZE DELIVERY:The winner will be notified by email to the address associated with their Gemini account (or, for AMOE entrants, the address used when submitting their entry form) within approximately one (1) business day of selection. The winner may be required to complete an affidavit of eligibility, liability release, and publicity release, and to provide proof of identity, U.S. residency, and tax identification information (such as an IRS Form W-9), before the prize is awarded. AMOE winners without a Gemini account must respond to the notification email within five (5) calendar days with the information required to verify eligibility and arrange delivery. Failure to respond, or failure to satisfy any verification requirement, will result in forfeiture of the prize and selection of an alternate winner. Up to three (3) alternate winners may be selected.
7. PRIZE:One (1) new Apple iPhone Duo (256GB), a foldable-style smartphone (or Sponsor’s then-current equivalent model if unavailable) or, at Sponsor’s sole discretion, a cash-equivalent prize of equal value. ARV: $1,999 USD. Sponsor reserves the right to substitute a prize of equal or greater value if the stated prize is unavailable.
8. TAXES:The winner is solely responsible for all applicable federal, state, and local taxes on any prize received. As a condition of receiving the prize, the winner may be required to provide a valid taxpayer identification number and any other information Sponsor requires for tax reporting (such as a completed IRS Form W-9). A Form 1099 (or equivalent) will be issued if required by applicable law.
9. PUBLICITY:Except where prohibited by law, acceptance of a prize constitutes permission for Sponsor to use the winner’s name, likeness, and general location for promotional purposes across any media, without further compensation.
10. PRIVACY:By participating, entrants consent to the collection, use, and disclosure of their personal information for purposes of administering this Sweepstakes and fulfilling prizes. All personal information will be handled in accordance with Gemini’s Privacy Policy, available at www.gemini.com/legal/privacy-policy . 11. LIMITATION OF LIABILITY AND RELEASE:By participating, entrants release and hold harmless the Sweepstakes Entities from any claim, liability, loss, or damage of any kind arising out of participation in this Sweepstakes or acceptance or use of any prize.
TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ALL DISPUTES WILL BE RESOLVED INDIVIDUALLY WITHOUT CLASS ACTION. (2) EXCEPT FOR DELIVERY OF A PRIZE PROPERLY WON, AWARDS WILL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS NOT TO EXCEED $10.00. (3) PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES ARE WAIVED. (4) ENTRANT’S REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES AND ENTRANT WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF.
12. DISPUTE RESOLUTION:Any dispute arising out of or relating to this Sweepstakes will be resolved in accordance with the Dispute Resolution provisions (including the arbitration agreement and class action waiver) of the User Agreement applicable to the entrant’s state of residence, which are incorporated into these Official Rules by reference. Those provisions apply to every entrant, including an AMOE entrant who does not hold a Gemini account, as though the entrant were a party to that User Agreement. If there is any conflict between these Official Rules and those provisions regarding the forum, rules, or procedure for resolving disputes, those provisions control. 13. GENERAL:Sponsor reserves the right to cancel, modify, or suspend this Sweepstakes if fraud, technical failures, or other causes outside Sponsor’s control compromise its integrity. If any provision is held invalid or unenforceable, it shall be severed and the remainder shall continue in full force.
