Gemini Galactic Markets, LLC (“Gemini Galactic”) is registered with the Securities and Exchange Commission (“SEC”) as a broker-dealer and is a member of the Financial Industry Regulatory Authority (“FINRA”) and the Securities Investor Protection Corporation (“SIPC”). Brokerage and investment advisory services and fees differ, and it is important for you to understand these differences. What investment services and advice can you provide me?
We offer brokerage services to retail investors. Our platform allows you to buy and sell equity securities (stocks and exchange-traded funds) in a self-directed Investing Account. All orders placed through your account are unsolicited—meaning they are based entirely on your own investment decisions. We do not provide investment advice, make recommendations, or manage your investments on a discretionary basis. Your Investing Account is a cash account. We do not currently offer margin lending, options trading, or other complex products.
We use Apex Clearing Corporation ("Apex") as our clearing and custodial firm. Apex holds your securities and cash, clears and settles your trades, and maintains the books and records for your account. We do not monitor your portfolio or alert you to changes in your investments on an ongoing basis.

What fees will I pay?
Transaction-based fees. We currently charge no commissions on equity trades. Regulatory transaction fees (SEC fees and FINRA Trading Activity Fees) apply to sell orders and will be passed through to you.
Other fees. You may incur fees for transferring your account to another firm, paper statement delivery, or other account services. A complete schedule of fees is available at https://www.gemini.com/fees. You will pay fees whether or not you make money on your investments. Fees will reduce the return on your investments. The more you trade, the more fees you may pay. You should therefore consider whether frequent trading is consistent with your investment goals.

What are your legal obligations to me when providing recommendations? How else does your firm make money and what conflicts of interest do you have?
When we provide recommendations: Because your account is entirely self-directed, we do not make investment recommendations to you. We do not solicit your orders or suggest specific securities for you to buy or sell. Accordingly, Regulation Best Interest does not apply to individual trade decisions in your account. However, we are required to act in your best interest when we recommend that you open a brokerage account with us.
Our interests and conflicts: Gemini Galactic is an affiliate of Gemini Space Station, Inc. and its subsidiaries, which operate a digital asset trading platform and a prediction market, among other activities. This affiliation may create incentives for us to direct your attention to affiliated products or services. We have policies in place designed to manage these conflicts.
We may receive payment for order flow—compensation from market centers for routing your orders to them. This creates a potential conflict of interest because we may have a financial incentive to route orders in ways that benefit us rather than you. Apex, our clearing firm, may also receive compensation in connection with clearing and settling your transactions.
